Vietnam's supplement registration reset — and what it means for M&A

A tighter registration regime is reshaping who can own, and who wants to buy, VMS and functional-nutrition businesses in Vietnam.

Vietnam's move to tighten the registration and self-declaration regime for supplements and functional foods is, on its face, a compliance story. For dealmakers it is a value story.

Registrations are becoming an asset. A business with a clean, transferable portfolio of approvals — and the documentation to prove it — is materially more valuable than a larger competitor still operating on legacy paperwork.

Regulation rarely destroys value in this sector — it relocates it, toward the operators who took compliance seriously early.

We expect the reset to widen the gap between the well-run and the rest, and to pull acquisitions forward: a strategic would rather buy a compliant platform than rebuild one under the new rules.

For founders

The message is direct: the registration file is now part of the equity story. Treat it that way — organised, transferable, and diligence-ready — before a buyer does it for you.
